BT buys TalkTalk out of administration in overnight rescue deal
BT Group has acquired TalkTalk out of administration in a pre-pack deal announced on Monday, protecting 2.5 million broadband customers and 900 jobs after the government issued a Public Interest Intervention Notice.
BT Group has acquired TalkTalk out of administration in an overnight pre-pack deal announced on Monday morning, ending weeks of uncertainty over the fate of Britain’s budget broadband pioneer.
Sky News’s Mark Kleinman, who broke the story, reported that the sale covers TalkTalk’s wholesale and consumer arms — including its PlatformX Communications division — with BT agreeing to pay roughly £100 million to Ares Management, TalkTalk’s largest creditor. BT told Reuters it expects a cash impact of about £400 million ($528.4 million) from the deal in fiscal 2027.
All 900 employees are expected to transfer to BT, which said the deal would “protect continuity of service for its 2.5 million customers, avoiding the risk of material harm to vulnerable customers and key emergency services”. The deal followed BT’s rejection of a proposal from private equity firm Epiris, which had asked BT to forego at least £300 million owed to its Openreach unit.
The government took “urgent action” under Enterprise Act powers: Digital Secretary Lisa Nandy issued a Public Interest Intervention Notice so the deal’s wider public-interest impact can be considered, with the Competition and Markets Authority reporting back by 19 October. BT said a regulatory review will take place over the coming weeks, during which the two companies will operate separately and compete.
“If TalkTalk services fail, there is a genuine risk to life and public services — including to hospitals, schools and emergency care,” Nandy said. BT chief executive Allison Kirkby called it a “genuinely unprecedented situation” and said acquiring TalkTalk was “the only viable option to keep millions of customers connected”. Shareholders, including founder Sir Charles Dunstone, will be wiped out.
