Madison Dearborn Partners to take Marygold Companies private in $2-a-share cash deal

Madison Dearborn Partners has agreed to acquire The Marygold Companies (NYSE: MGLD) in an all-cash deal at $2.00 per share, a 100% premium, and take it private.

Funds managed by Chicago-based private equity firm Madison Dearborn Partners (MDP) have entered a definitive agreement to acquire all outstanding shares of The Marygold Companies, Inc. (NYSE: MGLD) in an all-cash transaction that will take the company private.

Marygold shareholders will receive $2.00 per share in cash, a 100% premium over the company’s closing share price on 24 September 2026. The deal is expected to close in the first half of 2027, subject to shareholder and regulatory approvals, and the Marygold board has unanimously approved the transaction. Shareholders owning roughly 75% of the company’s shares, including Nicholas Gerber, have agreed to vote in favour.

Marygold is a global holding firm spanning financial services, food manufacturing, printing and beauty products. It is the holding company of USCF, a commodity-focused ETF manager with about $6 billion in assets under management across oil, natural gas, copper, broad commodity index and equity income funds. MDP and Marygold plan to refocus the business on USCF after the deal closes.

ETF veteran Tim Rotolo will become Marygold’s chief executive, partnering with MDP and USCF leadership to scale the ETF platform. Rotolo brings more than 15 years of experience in ETFs and public markets, having launched and scaled two thematic ETF platforms including URNM, a uranium mining ETF that grew past $1 billion before its sale to Sprott Asset Management.
