Nscale secures $3.36bn convertible financing ahead of US IPO

British neocloud Nscale has secured $3.36 billion in convertible financing ahead of its US IPO, with $2.36 billion available immediately and $1 billion from Nvidia due in November.

British AI neocloud Nscale has secured $3.36 billion in financing ahead of its planned US stock market listing later this year, the company announced on Friday.

The financing is structured as a convertible note led by hedge fund Third Point, with the notes converting into equity shares once the IPO is completed.

Of the total, $2.36 billion is available to Nscale immediately, while an additional $1 billion will come from existing investor Nvidia in mid-November.

Nscale filed its IPO paperwork last week and is expected to list on the NYSE with a valuation of $35 billion, per the Financial Times, while Bloomberg reports the company is seeking to raise $3 billion in the offering.

The company, which was spun out of Australian cryptocurrency miner Arkon Energy two years ago, says it has amassed more than $103 billion worth of contracts, according to its IPO filing. It is currently developing several large data centre campuses, including in Norway and West Virginia.
